Practice Areas: Corporate Finance: Working Capital and Asset-Based Financing

We are recognized nationally as a premier provider of legal representation to commercial finance companies, financial institutions and institutional investors in their lending and investment activities. We consistently provide reliable and responsive legal advice and services to our clients in a timely and costeffective manner. Whether the scope of our representation in a particular matter is broad or narrow, our overriding objective is to assist our clients in achieving their desired results in a manner consistent with their institutional objectives.

We have approximately 50 lawyers that spend substantially all of their practices representing lenders that extend credit, primarily in asset-based and other commercial finance transactions. We assist those lenders in enforcing their rights against collateral and their borrowers, whether in bankruptcy court or otherwise. The size of our practice, depth of experience, and broad range of expertise of our finance and business law attorneys enables us to provide tremendous value to our clients. Of particular value to our clients is that the sizable volume of sophisticated financings that our firm regularly handles enables us to service clients in a timely and cost-effective manner, without burdening the client with the cost and frustration of training the attorneys handling the matter

The tremendous volume of loan and investment transaction work that we handle is in part attributable to the excellent results we have achieved for clients in situations where their transactions encountered unforeseen difficulties. We have an extensive practice in representing creditors in pending bankruptcy cases throughout the country and numerous out-of-court workout agreements. We also have extensive experience representing purchasers in acquisitions of businesses and assets from entities in bankruptcy, as well as bankruptcy litigation, such as fraudulent transfers, preferences and subordination actions and related matters.

We represent many financial institutions, commercial finance companies, national and state banks, bank holding companies, factors and other lenders, both large and small, in their domestic and international working capital and asset-based lending transactions. We have structured, negotiated and documented virtually all types of working capital and asset-based financing transactions, including those involving:

• Syndicated and single-lender credit facilities
• Letter of credit and bankers’ acceptance facilities
• Eurodollar and other multiple-pricing mechanisms
• Multiple-currency funding and repayment options
• Interest rate exchange agreements
• Foreign borrowers and collateral located in foreign countries
• Financing for financial portfolio asset purchases
• Lender finance, factor finance and mortgage warehouse facilities
